I trained at Lewis Silkin and have been working for creative and innovative businesses for more than a decade.

I am a corporate lawyer and deal with most stages in the lifecycle of a private limited company including equity and debt investment, joint ventures, asset acquisitions and disposals, share acquisitions and disposals, day-to-day corporate governance, and director and shareholder disputes.

I advise clients across a broad range of sectors but have particular experience in advertising and media & entertainment.

Experience

Advertising

  • Advising some of the world's largest advertising & marketing groups on their UK private company acquisitions, including the drafting and negotiating of complex share purchase and option agreements, typically with earn-out arrangements
  • Advising companies, directors and shareholders in relation to disputes with directors or shareholders, including supporting on commercial or employment litigation where necessary
  • Working with specialist colleagues in other disciplines such as employment to advise on day-to-day management and governance issues, including the management of staff complaints or Employment Tribunal claims

Media & entertainment

  • Advising companies on early and later stage equity investments, including liaising with other professional advisers, such as valuation experts and specialist tax advisers, and drafting and negotiating investment agreements
  • Advising companies on joint ventures, including drafting and negotiating joint venture agreements and liaising with other specialists to manage related issues such as the secondment of staff and ownership and licensing of intellectual property
  • Acting for shareholders on a sale, whether by way of a share or asset sale, including liaising with other professional advisers to manage valuation, tax and transaction structuring advice
