I am a Partner in the firm's corporate legal practice group, specialising in both domestic and international mergers and acquisitions.
I act for companies, shareholders and directors on a full range of corporate advice, with particular experience of acting for clients in the technology, sports and professional services sectors. I advise clients throughout all stages of a company’s life cycle, from incorporation and shareholders’ agreements, to early-stage seed investment rounds, raising growth capital, making acquisitions and finally through to a full or partial exit by way of a trade sale, management buy-out or private equity acquisition.
Corporate
I specialise in acting for companies and shareholders on private company mergers and acquisitions, often involving one or more overseas jurisdiction. I also act for companies raising private equity and debt finance, entering into joint ventures and undergoing group reorganisations and restructurings. In addition, I often advise clients on lending and raising debt finance, including advising on loan facility agreements and related security and inter-creditor documentation.
Technology
I have particular experience in acting for businesses in the technology and digital services sectors, ranging from tech start-ups to large established international corporate groups. Recent examples of my work in this field include acting for the founders of an online ad serving and measuring company on their £60m partial exit to a leading US private equity firm, and advising a UK based corporate finance boutique on its debt and equity investment into an award-winning healthcare product innovation group.
Professional Services
Many of my clients are in the professional services sectors including law firms, accountancy practices and insolvency practitioner firms. I advise both firms and individual partners on partnership and LLP agreements and have acted on a number of LLP conversions over the last few years. I have also recently acted on the merger between two leading national accountancy practices.
